Welcome to Introist Attend. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications, which include, but are not limited to, the Introist Attend web app (the “Services”). If you have any questions, comments, or concerns regarding these terms or the Services, please contact us at hello@introist.com

These Terms of Service (the “Terms”) are a binding contract between you and Introist Oy (“Introist Attend,” “we” and “us”). You must agree to and accept all of the Terms, or you don’t have the right to use the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy.

Will these terms ever change?

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the Introist Attend website, by sending you an email, and/or by some other means.

If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

What about my privacy?

When delivering the Service, Introist Attend will collect and process personal data about you and your use of the Service. By using the Service, you agree that Introist Attend can use your personal data in accordance with our Privacy Policy and in accordance with the consent you have given us.

Introist Attend will comply with Finnish and EU privacy regulations.

Are there age restrictions?

Introist Attend is only for people 18 years old and over. By using Introist Attend, you affirm that you are over 18. If we learn that someone under 18 is using Introist Attend, we’ll terminate their account. For use in educational settings with students younger than 18 years old, contact us.

What are the basics of using the services?

Introist Attend is a service designed to manage attendees in company calendar events. You may access and use the Services only in accordance with these Terms. Please note that these Terms govern your use of the Services, including, but not limited to, the process through which you manage invitees to your scheduled appointments.

When using the features of the Services you are subject to any agreements, policies or guidelines applicable to such features that may be posted from time to time. All such agreements, policies or guidelines, including the Privacy Notice, and the Data Processing Addendum (as applicable) are hereby incorporated by reference into these Terms.

To use the Services, you need to set up an Introist Attend account.

When you create an account, we collect registration-related information, which includes your email address, your name and your organisation name. Once you submit the required registration information, we alone will determine whether or not to approve your proposed account. For so long as you use the account, you agree to provide true, accurate, current, and complete information that can be accomplished by logging into your account and making relevant changes directly. You are responsible for complying with these Terms when you access the Services. Because it is your account, it is your job to obtain and maintain all equipment and services needed for access to and use of the Services as well as paying related charges. You agree to choose a strong and secure password(s) and maintain the confidentiality of your password(s), including any password of a third-party site that we may allow you to use to access the Services. Should you believe your password or security for this Website has been breached in any way, you must immediately notify us at support@introist.com.

Your account belongs to you. However, Introist Attend controls the URL(s) assigned to your account and may change or deactivate the URL(s) without prior notice. If your account is paid for by another party for you to use (for example, paid and managed by your employer), the party paying for your account has the right to control it, manage it, and get reports on your use of the Paid Account. The party paying for your account does not have rights nor access to your separate, personal account(s) that are not paid for nor managed by that party.

Your use of the Services is subject to the following additional restrictions: You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Services or interact with the Services in a manner that:

Infringes or violates the intellectual property rights or any other rights of anyone else (including Introist Attend);

Violates any law or regulation;

Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;

Jeopardizes the security of your Introist Attend account or anyone else’s (such as allowing someone else to log in to the Services as you);

Attempts, in any manner, to obtain the password, account, or other security information from any other user;

Violates the security of any computer network, or cracks any passwords or security encryption codes;

Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);

Uses any intellectual property rights protected by applicable laws and contained in or accessible through the Services for the purpose of building a competitive product or service or copying its features or user interface;

Uses the Services, or permits it to be used, for purposes of product benchmarking or other comparative analysis intended for publication without Introist Attend’s prior written consent;

Uses the Services to develop or enhance any software, software code, or any derivative works of any software without Introist Attend’s prior written consent;

Uses the Services as a direct competitor of Introist Attend or for the purpose of monitoring the Services’ availability, performance, functionality or for any other benchmarking or competitive purposes;

“Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);

Copies or stores any significant portion of the Content;

Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.

As you are using Introist Attend to manage meeting participants, you are responsible for using the Service for your organisation users, not externals, unless you have their consent.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

What are my rights in the services?

You understand that Introist owns the Services. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), creative derivative works based on, or otherwise exploit any of the Services.

Will Introist Attend ever change the services?

We’re always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms), in our sole discretion, and without notice.

Do the services cost anything?

Some of the Introist Attend Services are currently free, but we reserve the right to charge for certain or all Services in the future. We will notify you before any Services you are currently using begin carrying a fee, and if you wish to continue using such Services, you must pay all applicable fees for such Services.

If you choose to sign up for any Services that carry a fee (the “Paid Services”) you will be charged the then-current fees for such Paid Services. Unless otherwise agreed, all fees paid to Introist Attend are non-refundable.

Introist Attend or our billing processors collect your billing information when you upgrade to a Paid Account. All information is protected in accordance with our Privacy Notice.

What if I want to stop using the services?

You’re free to do that at any time, by contacting us at support@introist.com; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.

Introist Attend is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. Introist Attend has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Introist Attend.

If you have deleted your account by mistake, contact us immediately at support@introist.com – we will try to help, but unfortunately, we can’t promise that we can recover or restore anything.

Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

What else do I need to know?

Disclaimer of warranty

Introist Attend provides the Service to you “as is”. You acknowledge that the Service is not error-free. You use it at your own risk and discretion. That means the Service doesn’t come with any warranty. None expressed, none implied. The service will be continually developed, and you acknowledge that changes to functionality and layout may be carried out without advance notice. Introist Attend makes no warranties, expressed or implied, with respect to the availability, merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, performance and quality of the Service. Introist Attend will from time to time have to carry out updates and maintenance of the Service, due to technical, security or operational reasons, during which time the Service might be unavailable. Introist Attend will make reasonable efforts to arrange updates and maintenance outside of peak usage hours.

Limitation of Liability

Introist Attend shall not be liable for any damages, whether arising under law, contract, warranty, indemnification, tort or otherwise, including, without limitation, incidental and consequential damages, loss of profits or business opportunities, or damages resulting from loss of data or loss of access to the Service. In any event, Introist Attend’s total liability shall not exceed the amount paid by you for the Service during the last 12 months prior to the incident that causes the liability.

You agree to indemnify, defend and hold harmless Introist Attend and its partners from all claims, liabilities and expenses (including reasonable attorney’s fees) that arise from your misuse of the Service in breach of the Terms or applicable laws. Introist Attend reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall cooperate in good faith with Introist Attend in asserting any available defenses.

Partial invalidity

If any provision of the Terms is declared invalid or unenforceable by a court or other binding authority, the remaining terms (or parts), conditions and provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

Force majeure

Force Majeure means any circumstances beyond the reasonable control of either party, including, without limitation, fire, explosion, strikes or other labor disputes, riots or other civil disturbances, voluntary or involuntary compliance with any law, order regulation, recommendation or request of any governmental authority, and errors or downtime in networks, power supply, gateway or similar failures of communication. Neither party will have any liability, other than for the payment of money owing, for their failure to perform any of their contractual obligations arising out of or in connection with events of force majeure.

You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Introist Attend’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Choice of Law and Dispute Resolution

The Terms shall be governed by and interpreted in accordance with Finnish law. Any dispute, controversy or claim arising out of or in connection with the Terms shall be subject to the jurisdiction of the Finnish courts.

You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Introist Attend may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Introist Attend agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Introist Attend, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms, and that all modifications to these Terms must be in a writing signed by both parties (except as otherwise provided herein). No agency, partnership, joint venture, or employment is created as a result of these Terms and you do not have any authority of any kind to bind Introist Attend in any respect whatsoever. You and Introist Attend agree there are no third-party beneficiaries intended under these Terms.
